SCOPE OF CONTRACT|WorldWide Travel Team, LLC, is acting as a mere agent for SUPPLIERS (“Supplier” or “Vendor” refers to any provider of the Services offered below) in selling travel-related services, or in accepting reservations or bookings for services that are not directly supplied by this Travel Agency (such as air and ground transportation, hotel accommodations, meals, tours, cruises, etc.). Travel Agency, therefore, shall not be responsible for breach of contract, failure to comply with any laws such as the Americans with Disabilities Act (ADA), or any intentional or negligent actions or omissions on the part of such suppliers, which result in any loss, damage, delay, inconvenience or injury, or death to travelers or travelers’ companions or group members. Unless the term "guaranteed" is specifically stated in writing on your tickets, invoice, or reservation itinerary, Travel Agency does not guarantee any of such supplier’s rates, bookings, reservations, connections, scheduling, or handling of baggage or other personal effects. Group Leaders have done due diligence, are aware of the quality of the hotel accommodations chosen and agree that Travel Agency will not be responsible if they are not satisfied. The issuance of any tickets, reservations, or bookings by WorldWide Travel Team, LLC is done on the express condition that: 1. WorldWide Travel Team, LLC shall not be responsible for any changes in fares, rates, charges, or prices initiated by the carrier(s) or supplier(s) of services, and 2. WorldWide Travel Team, LLC shall not be responsible for any damages resulting from cancellations, changes, or disruption of any services and/or for refunds of monies already paid or transmitted to any carrier or supplier of services. Group Leader’s initial retention of tickets, reservations, or bookings after issuance shall constitute a consent by customer, on his/her behalf and on behalf of his/her companions, to the above. Nothing agreed to herein by the Group Leader is meant to interfere with customer’s legal rights against any carrier(s) or supplier(s) of services. Group Leaders have taken note of WorldWide Travel Team, LLC Terms & Conditions before making a booking and acknowledge by signing this Group Contract. In the event of health pandemics or states of emergency, the suppliers operating your trip (for whom we act as sales agents) may change, delay, or cancel the services they offer for your trip at their sole discretion and with little or no advance notice. Also, government officials in the destinations you visit may change entry requirements, health protocols, and other rules for inbound visitors (including health screenings and tests and mandatory quarantines) at their discretion and with little or no advance notice. You agree that we as sales agents have no control over these decisions and we cannot be held liable for them. Further, you understand that it’s your responsibility to consult government web sites for more health information and comply with the government’s rules in the destinations you’re visiting that are in effect during your trip. INDEMNIFICATION | To the extent allowed by applicable law and subject to sovereign immunities afforded to Group, each party hereby agrees to indemnify, defend and hold the other harmless from any loss, liability, costs or damages arising from actual or threatened claims or causes of action resulting from breach of any of its representations, warranties or covenants herein or the negligence, gross negligence or intentional misconduct of the party indemnifying or its respective officers, directors, employees, agents, contractors, members or participants (as applicable), provided that with respect to officers, directors, employees, and agents, such individuals are acting within the scope of their employment or agency, as applicable. WorldWide Travel Team, LLC is not responsible for losses or damages arising from physical or emotional injury, property or other economic damage caused by such factors beyond our control. We are not responsible for any consequential, psychological, or emotional damages or monetary losses due to flight delays, airline turbulence, transportation accidents, or other unforeseen circumstances. ACCEPTANCE | Only upon signature of this document by all parties will this document constitute a binding agreement. Unless the Hotel or Tour Operator otherwise notifies Group Leaders at any time prior to execution of this document, the outlined format and dates will be held by the Hotel or Tour Operator for The Group on a first-option basis as listed in the terms below. If the Group cannot make a commitment prior to that date, this invitation to offer may revert to a second-option basis or, at the Hotel or Tour Operators discretion, the arrangements will be released, in which case neither party will have any further obligations. The sleeping rooms, function space and food and beverage functions listed below will be considered definite commitments of Group Leaders upon signing of this agreement by both parties and will be subject to all terms and conditions set forth. Faxed signatures will be accepted. The persons signing below agree that they are authorized representatives of the above indicated group and hotel, tour operator, or travel agency who have authority to enter this contract. This agreement and the terms and conditions may not be changed or amended unless done so in writing and signed by both parties. SEVERABILITY | If any provision of this Contract is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of the Contract shall have full force and effect. TRANSFER/RELEASE OF LIABILITY | WorldWide Travel Team, LLC has contracted with Suppliers, hotels, and/or tour operators to provide services for the aforementioned group. Group Leader shall retail liability due to breach of contract or failure to comply with any of the payment deadlines and/or terms and conditions as listed in this group contract. Travel agency shall not be held liable and group and individual participants of group shall assume all liability for any on-site risks associated with alcohol consumption, food allergies, conduct of any member of the group which may be considered inappropriate or participation in any sports or group activities. Agency further possesses no knowledge as to the marital status of any individual in the group and shall not be held liable in the event of misrepresentations by any member of the group in this regard. Agency has no knowledge as to any prior inappropriate or criminal conduct of any members of the staff or employees of the resort or hotel and bears no responsibilities for any inappropriate actions by said persons. Agency shall not be held responsible for any social, psychological, or sexual conduct by any member of the group or hotel staff. All equipment provided by the hotel or associated rental company shall be used at the full risk of the group and individual members. Further, Travel agency shall bear no liability for any false or misleading advertising or communications by third party suppliers or by the signatory to this contract. The Signatory to this agreement agrees to fully indemnify the agency in the event of any proceedings, legal or otherwise which relates to the same. FORCE MAJORE | You understand and agree not to hold WorldWide Travel Team, LLC Liable for Force Majore. Force Majeure” means, in relation to our agency, in any circumstances beyond our reasonable control, (including, but without limitation, to acts of God, explosion, flood, forceful wind, fire or accident, war or threat of war declared or undeclared, acts of terrorism, sabotage, insurrection, riots, strikes, civil disturbance, sickness, epidemics, pandemics, quarantines, government intervention, weather conditions, defects in machinery and vehicles, delays or other unforeseeable event), we shall not be deemed to be in breach of these terms and conditions or otherwise be liable to you, and shall not provide any refund, by reason of delay in performance, or by non-performance, of any of our obligations hereunder to the extent that any such delay or non-performance is due to any force majeure. If our agency, and/or any of our travel suppliers, are affected by force majeure, they shall be entitled to, and may in their sole and absolute discretion, vary or cancel any itinerary or arrangement in relation to your trip.” JURISDICTION | All parties hereby consent to the jurisdiction of all state and federal courts sitting in U.S.A, State of Missouri, and agree that venue for any such action shall lie exclusively in such courts without regard to choose of law principles, and agrees that such courts shall be the exclusive forum for any legal actions brought in connection with this Agreement or the relationships among the parties hereto. The Group is subject to all applicable terms and conditions of the attached group booking policies as provided by the hotel and/or travel supplier:
This agreement replaces any other agreements between WorldWide Travel Team, LLC and Supplier. This agreement shall not be transferable by Group Leader without the consent of WorldWide Travel Team, LLC. This agreement represents the complete understanding of the parties with respect to the described relationship. No amendment, modification, termination or waiver shall be binding unless agreed upon and signed by both parties. |
